Definitions

The following Membership Agreement constitutes an agreement between you and HealthInsuranceFinders.com (referred to in this Membership Agreement as " HealthInsuranceFinders.com," "us," "our" and "we"). For the purposes of this Membership Agreement, the following words and phrases shall have the following meanings:

• Members: Those who have accepted this Membership Agreement.
• Content: All content that is submitted by Members and is displayed on the HealthInsuranceFinders.com Answers Web Site.
• Community Services: The area of the HealthInsuranceFinders.com Web Site that contains questions and answers along with all various communication and personalization tools and other member submitted content.

Change In Terms And Policies

This Membership Agreement and all other Web Site policies and Terms of Use are subject to change at any time at our sole discretion. All uses of the Community Services are subject to change and any individual terms may be waived or modified as they are applied to any specific piece of Content or Member. Any such changes will be effective immediately upon being made and published to our Website. Any ongoing dispute shall be exempt from said changes during the length of any resolution or investigation. If any provision of this Membership Agreement is deemed void or invalid, for any reason, that term may be severed and not affect the validity of the remainder of the Membership Agreement.

Members are required to stay updated on the current status of this Membership Agreement by visiting our Web Site. Any violations to this Membership Agreement may warrant disciplinary action up to an including banning from using any or all Community Services.

Code of Conduct

In addition, all Members agree to abide by the following code of conduct in order to remain in good standing. Violations of these rules will constitute a breach of this Membership Agreement with the resulting disciplinary actions.

No Content may be posted to Community Services that:

• Puts forth any information that the author Member knows to be false, misleading, or that promotes illegal conduct.
• Is unlawful, harmful, threatening, defamatory, libelous, abusive, or disparaging.
• Is pornographic, obscene, pedophilic or that may be harmful to minors or provides material that exploits minors in a sexual or violent manner or solicits any personal information from a minor.
• Is invasive of another's privacy as well as hateful or malicious
• Contains hate propaganda or promotes discrimination or violence against any people on account of their race, national origin, religion, age, gender, disability, or sexual orientation
• Stalks or harasses any person
• Promotes an illegal copy of copyrighted work, infringes on any patent or proprietary rights
• Promotes any illegal activity or instructional information about illegal activities
• Contains any software virus or malicious programs that are designed to interrupt, destroy, compromise, or otherwise limit the functionality of any computer system or service owned by any party; or solicits or collects passwords and personal identifying information from other users.
• Otherwise violates any local, state, national or other applicable law or regulation

Content may not be posted to Community Services that:

• Aims to impersonate any entity or falsely misrepresents your affiliation with any other party
• Uses forged headers or other Content identifiers that disguises or obfuscates the origin of any Content
• Disrupts any HealthInsuranceFinders.com computing or server resource
• Otherwise harvests any user information

Member Identification And Privacy

Members may only register to the Web Site with a single username. Multiple registered accounts opened by or associated to a single person are not allowed. All information offered during registration must be truthful and not be representative of another person's identity. No attempt may be made to register for a username that attempts to impersonate any staff, other Members, or any other person. Usernames may not contain any solicitations or Content that would violate the above Code of Conduct.

User email addresses are kept private unless a Member chooses to display such information; Member community profiles and all information offered through a profile are publicly viewable by any Member. Any personal information that is made public by the choice of a Member through their profile or username may result in solicitations from unauthorized third parties, such as your full name, email address, street address, or phone number. We disclaim any responsibility or liability arising from your disclosure of such personal information in the public areas of Community Services or within any posted Content.

Members are responsible for maintaining the security of their passwords and are responsible for all actions taken under their user names. Do not give out your password to any person for any reason. The staff of HealthInsuranceFinders.com will never ask for your password in any communication through the Web Site, Community Services areas, emails, instant messages, or through a phone call. Accounts are non-transferable and any suspicious activity related to a breech in an account's security must be communicated to us immediately.

Authorized Advertisements and Communications

Community Services pages are provided free of charge. Said sites may include advertisements authorized by us in order to pay for network and service expenses. Members acknowledge and agree to receive advertisements on any area of our Web Site.

HealthInsuranceFinders.com will send communications to any or all Members, such as service announcements or administrative messages. Members may not opt out of receiving these notifications. Periodicals, newsletters, and other informative communications may be transmitted to Members as well, however, users may elect to not receive such notices during registration or opt out of receiving future notices at any time through a link in each notification.

Any and all communication transmitted to Users may not be made public in either Community Services areas or any other place on the Internet or on any other media.

HealthInsuranceFinders.com Content Management

We are under no obligation to monitor Content within Community Services or any other part of the Web Site. However, we reserve the right to conduct Content management as is deemed necessary at our sole discretion. Such management does not occur instantaneously; hence, Members may see Content that violates this Membership Agreement. Any such items should be reported to us using the Help or Report links in order to facilitate expeditious review. Ultimately, the right to display, refuse to display, or remove any Content is retained and employed at our sole discretion. We also reserve the right to display any Content or refuse to remove any Content that violates this Membership Agreement.

Members acknowledge and agree that all Content of other Members is based on their own perspective, experience, and opinion; we do not guarantee the validity or truthfulness of any Content nor do we endorse any views held therein nor are we responsible for any damages incurred as a result of any Content's advice, suggestions, or call to action.

Licensing Of Content

All content posted to HealthInsuranceFinders.com is granted with a non-exclusive, royalty-free, perpetual, irrevocable and fully assignable right to use, reproduce, modify, adapt, publish, translate, edit, reformat, create derivative works from, distribute, display and provide to third parties those Postings and that Content throughout the world for any purpose and in any media. You are also granting to us the non-exclusive right to seek to enjoin and/or obtain damages from any third party from the unauthorized use or reproduction of your Postings and Content, as well as the right to attribute your Postings and Content to you.

Conversely, all Members agree not to use or reproduce any Content in any manner or in any other media. Content excerpts may be posted with a clear declaration that the full Content is available at HealthInsuranceFinders.com along with providing links to Content, including excerpts or feeds posted through the use of widgets on third party Web Sites.

Indemnification And Damages

Members are responsible for any damages resulting from any violation of this Membership agreement. Furthermore, Members agree to indemnify and hold HealthInsuranceFinders.com Answers Web Site and our subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand. This includes any reasonable attorneys' fees, damages, or other financial awards made or received by any third party due to or arising out of your violation of this Membership Agreement. Indemnification also extends to any violation of any law or the rights of a third party that occurs in connection with your use of the Community Services.

Attorneys' Fees And Choice of Law and Forum

The laws and rules of the State of Florida, excluding conflicts of law rules, ultimately govern the terms and language of this Membership Agreement. Members agree that the exclusive jurisdiction for any claim or action arising out of or relating to this Membership Agreement or use of the Community Services shall be in the state or federal courts located in the County of Miami-Dade, State of Florida, unless expressly waived by us or we bring an action in a different jurisdiction. Members further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action. A prevailing party in any action shall be entitled to collect its reasonable attorney fees in the event of any action to enforce or interpret this Membership Agreement.
